Overstock.com Files New Shelf Registration Statement

SALT LAKE CITY (Map) - SALT LAKE CITY, Aug. 19 /PRNewswire-FirstCall/ -- Overstock.com, Inc. (Nasdaq: OSTK) announced today that it has filed a new shelf registration statement with the Securities and Exchange Commission to register various securities that may be offered and sold from time to time after the registration statement has become effective. After it becomes effective, the new registration statement will replace the Company's existing shelf registration statement, which would have expired later this year. After it becomes effective, the new registration statement would allow the Company to sell, from time to time, up to $500 million of its debt securities, common stock, warrants and other securities in one or more offerings. The terms of any offering under the shelf registration statement will be established at the time of any such offering.

"We have no current plans to raise additional capital," said Jonathan Johnson, Overstock.com president, "but we believe that it is prudent capital management to have a shelf registration statement in place should the need or opportunity arise to raise capital on attractive terms. Since our current shelf registration statement will expire later this year, this is a good time to get a new one in place.

The shelf registration statement has been filed but is not yet effective.
